Terms of Service

SPUR Compute API - Effective 22 June 2026

These Terms of Service ("Terms") govern access to and use of the SPUR Compute API and related services (the "Service") operated by SPUR Innovation Centre ("SPUR", "we", "us"). By creating an account, generating an API key, or sending a request to the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization.

1. The Service

SPUR Compute provides metered, OpenAI-compatible AI inference over an HTTPS API. Inference runs on NVIDIA Blackwell (B300) hardware owned and operated by SPUR on Canadian soil. Available models, context limits, and per-token pricing are published at our model endpoints and on ai.spuric.com and may change over time.

We may suspend access for conduct that, in our reasonable judgement, violates this section or threatens the integrity of the Service.

Our handling of personal information is further described in our Privacy Policy, which forms part of these Terms.

5. Pricing and Billing

The Service is metered per token at the rates published for each model. Charges are drawn against prepaid credits or billed per your account agreement. Prices may change with reasonable notice; continued use after a price change constitutes acceptance of the new rates. Taxes are your responsibility where applicable.

6. Availability

We target high availability and publish live model health, but the Service is provided on a commercially reasonable best-efforts basis. We may perform maintenance, modify model availability, or impose rate limits. We are not liable for downtime, latency, or interruptions except as expressly agreed in a separate written service-level agreement.

7. Intellectual Property and Model Licenses

As between you and SPUR, you retain rights to the inputs you submit and the outputs generated for you, subject to the licenses of the underlying open-weight models (for example MIT, Apache-2.0, or the applicable community license). You are responsible for ensuring your use of any model and its outputs complies with that model's license.

The Service and all outputs are provided "as is" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, or non-infringement. AI outputs may be inaccurate or inappropriate; you are responsible for reviewing outputs before relying on them.

9. Limitation of Liability

To the maximum extent permitted by law, SPUR will not be liable for any indirect, incidental, special, consequential, or exemplary damages, or for lost profits or data. Our aggregate liability arising out of or relating to the Service will not exceed the amounts you paid to us for the Service in the three months preceding the event giving rise to the claim.

10. Termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms or for legal or security reasons. Provisions that by their nature should survive termination (including Sections 4, 7, 8, 9, and 11) will survive.

11. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The courts of Ontario have exclusive jurisdiction over disputes arising from these Terms.

12. Changes

We may update these Terms from time to time. Material changes will be reflected by updating the effective date above. Continued use of the Service after changes take effect constitutes acceptance.
